Organizational Structure of the Executive Council 

Leading the General Body is an Executive Council, whose responsibility is to define and execute the day-to-day operational direction of the consortium, working in conjunction with the employed Consortium staff, and reporting to the Consortium’s Board of Directors (BoD).  

The Executive Council is comprised at its core of a Leadership Team, whose members are nominated by the BoD and elected by the General Body.  The Leadership Team consists of a Council President, Council Vice-President, and Council Secretary as elected by the General Body.  

The role of the Council President is to define and lead execution of the Consortium’s operational direction and strategy, and to chair Executive Council meetings and General Body plenaries.  

The role of the Council Vice President is to assist the Council President in delivery of his or her duties.  

The role of the Council Secretary is to assist the Council Vice President and Council President in delivery of their duties, and to record and post Executive Council and General Body Plenary meeting minutes.  

The Executive Council further consists of the Chair for each Committee that is currently standing in the Consortium. The Committee Chairs, as members of the Executive Council, shall in conjunction with the Leadership Team provide a “steering function” for the Consortium, ensuring that all Committee work is serving in unison the Consortium’s mission and scope, as well as the needs of its General Body. 

Furthermore, the Leadership Team can appoint the following Special Committee leaders to serve on the Executive Council: 

  • Membership Committee Leader – responsible for managing the Membership Committee, that will take care of member onboarding, retention, and offboarding processes of the Consortium.  

  • Liaison Committee Leader – responsible for managing the Liaison Committee that is will liaise with other industry associations and standards bodies, as deemed necessary by the Leadership Team and General Body 

The Executive Council liaises with the Consortium’s employed staff via the Chief Employed Officer (CEO), who shall be hired and supervised by the BoD when the Consortium’s administrative needs require a daily administrative staff. The compensation for the CEO, and any decisions regarding his or her employment, will be decided by the BoD. The CEO is responsible for hiring and managing the staff responsible for the day-to-day operations of IDCA. 

The Membership Committee is charged with managing outreach to the industry and its key stakeholders with the mission to advance the membership needs of the consortium. The membership committee should advise the Executive Council on where IDCA has membership gaps and should set the membership engagement strategy for the organization. 

The Liaison Committee is made up of liaisons to other industry associations that IDCA works or partners with. The function of the Laison Committee is to keep the Executive Council engaged and aware of other associations activities in areas of interest to IDCA, such that the Executive Council can effectively steer IDCA towards collaboration and not towards overlap or competition.
